Proforma Invoice vs Invoice: Separate a Preliminary Offer from Billing

A proforma invoice presents preliminary transaction details in an invoice-like form. An issued invoice belongs to the billing workflow. Similar-looking amounts and addresses do not make the two documents interchangeable.

ToolNivo’s Invoice Generator creates an ordinary invoice PDF with a fixed Invoice heading. It is not a proforma generator. Use it for the actual billing document after deciding which document the transaction requires.

Understand why a preliminary document may be requested

The U.S. International Trade Administration describes a pro forma as a quotation in invoice format that can support arrangements before an export shipment, such as import preparation or financing. Its pro forma guidance lists information such as quoted items, prices, sale terms and validity. That is an export example, not a universal instruction for every business or country.

In everyday document handling, the important question is what the recipient intends to do with the file. Do they need proposed pricing for approval, an advance-payment document under a specific process, or an issued bill? Clarify that purpose before creating a file with a potentially misleading label.

Example: a proposal that changes before billing

A supplier prepares preliminary details for 12 units at EUR 35 each: EUR 420 before other charges. The customer later confirms only 10 units. If that is the agreed quantity to bill, the item value on the actual invoice is EUR 350, before any applicable adjustments.

Keep the preliminary 12-unit document as part of the proposal history. Do not treat its EUR 420 as an additional receivable alongside the EUR 350 invoice. Record how the final quantity was agreed and link the documents with references. These example amounts illustrate document reconciliation; they do not determine when revenue, tax or payment obligations arise.

Give the recipient an unmistakable document identity

  • Use the appropriate document type prominently, not only in the filename.
  • Identify the proposal or transaction reference consistently.
  • Distinguish preliminary assumptions from confirmed details.
  • Make revisions identifiable rather than silently overwriting earlier copies.
  • Keep the final invoice number distinct from draft or proposal references.

A file named “proforma.pdf” whose main heading says Invoice can confuse a purchasing team. Similarly, changing a filename from “draft” to “final” does not establish whether its contents were reviewed and issued.

The quote, estimate and invoice comparison helps map the earlier price discussion. A proforma’s particular legal or accounting treatment should be checked for the relevant jurisdiction and transaction.

Move to final billing with a reconciliation, not a rename

Before creating the actual invoice, compare the final customer identity, agreed quantity, unit price, currency, delivery arrangements and relevant references with the preliminary document. Resolve differences with the people responsible for the order. Do not copy an expired proposal’s price just because it is already in a convenient layout.

If a payment has already been received, identify what it relates to in your own records. Do not automatically enter the proforma total as Amount Paid. That field should reflect a confirmed payment allocation, not a proposed price or an expectation that the customer will pay.

Use a suitable workflow for each output

Prepare proformas in a system or document process that supports the correct label and necessary information. The ToolNivo editor cannot switch its output title to Proforma Invoice. Adding that phrase in Notes is not an equivalent feature and is not recommended as a workaround for a recipient requiring a proforma.

When a normal invoice is appropriate, enter the final agreed details manually, review the PDF and save your copy externally. ToolNivo does not import the preliminary document or preserve a version history. For export shipments, also read the commercial invoice comparison: an ordinary billing PDF may lack shipment-specific information.

Frequently asked questions

Is a proforma automatically proof that payment is due?

Do not infer that solely from its name. The agreement, intended use and applicable rules matter; ask the issuer or recipient what document is required.

Can ToolNivo generate a proforma invoice?

No. The current generator creates a PDF headed Invoice and does not provide a proforma document type.

Should I delete the preliminary document after invoicing?

Keep an appropriate record of the proposal and final agreement in your own filing process. Clearly distinguish it from the issued invoice to avoid duplicate billing confusion.
